§ 04 — Tokenization

Summary only. Offering documents govern.

SVA — the Supernova real-asset token

SVA is a permissioned security token offered under Regulation D Rule 506(c) and issued on the ERC-3643 standard, so that eligibility, whitelisting and transfer restrictions are enforced by the contract rather than reconciled after settlement.

§ 04 — Notice

Securities counsel must review before launch.

Starting draft — have securities counsel review this page and this block before launch. Not legal advice.

Important notice

This website is for information only. It is not an offer to sell, nor a solicitation of an offer to buy, any security in any jurisdiction. Any offer of SVA tokens is made solely under Regulation D, Rule 506(c) and only through the offering documents, which should be read in full. Securities offered under Rule 506(c) may be purchased only by accredited investors whose status the issuer has verified. Investing in private securities and in mining ventures involves substantial risk, including the risk of total loss, and the investment is illiquid.

Reg D Rule 506(c) permits general solicitation, which is exactly what a public website is. That makes the site itself part of the offering record.

§ 04.1 — Architecture

The issuance stack

Security controls

Whitelisting, transfer restrictions and compliance logic are enforced by the contract itself.

Tokenization

The ERC-3643 standard carries the register, permitting fractional participation without loosening control.

Transparency

On-chain settlement gives end-to-end traceability and a register that can be audited in real time.

Compliance

Offerings are made in accordance with applicable regulations and prevailing compliance standards.

Securitization

Assets are held inside compliant structures, with oversight and risk management defined before issuance.

§ 04.2 — Standard

Compliance in the contract.

§ 01

Identity-bound holders

Unverified addresses cannot receive the token — the transfer simply fails. Holding is tied to a verified identity, not to possession of a key.

§ 02

Rules that travel with the asset

Lock-ups and jurisdictional limits live in the compliance module, so secondary transfers are checked against the same rules as the primary issue.

§ 03

Issuer-level recovery

Freeze and recovery functions a regulated register is expected to have, exercisable where the offering documents permit.

§ 04.5 — Subscription

Eligibility precedes material.

How subscription works

§ 01

Register interest

No offering material is provided before eligibility is established.

§ 02

Accreditation

Rule 506(c) requires the issuer to take reasonable steps to verify accredited status — expect documentary verification, not a checkbox.

§ 03

Data room

Offering documents, technical reports and corporate records are released to verified prospective investors.

§ 04

Whitelist & settle

The verified identity is added to the on-chain whitelist; subscription funds and tokens settle against it.

Frequently asked

No. SVA is a security token offered under a Reg D exemption. It is not a payment token and it is not freely transferable.

Accredited investors whose status has been verified under Rule 506(c), and non-US persons where the offering documents permit. Eligibility is determined by the issuer before any offering material is released.

The rights attaching to SVA are set out in the offering documents, which govern in full. No website summary — including this page — describes or qualifies those rights.

No. Transfers are restricted at the contract level; a transfer to an address that is not whitelisted fails. Any permitted secondary transfer occurs within the compliance module.

No. Spot prices shown on this site are market reference data, not a valuation of SVA.

This page is informational. It is not an offer to sell or a solicitation of an offer to buy any security, and it is not investment, legal or tax advice. Any offer will be made only to verified accredited investors through the offering documents, which govern in their entirety.

§ 04.7 — Disclosures

Read in conjunction with offering documents.

Offering disclosures

Resource statements

Reserve and resource figures are presented on an SK-1300 and NI 43-101 basis. Inferred mineral resources are not mineral reserves and have not been demonstrated to be economically viable. Production figures describe a planned scaling path and are not guidance.

Market data

Spot prices are supplied by a third-party market data provider, may be delayed, and are shown for reference only. Any in-situ value calculation applies spot to declared reserves before any cost of extraction, processing, royalties, taxes or capital, and is not a valuation of the company or of any security.

Forward-looking statements

Statements about future production, corridors, listings or milestones are forward-looking and subject to risks that may cause actual results to differ materially.
